KENDELL SALE CONTRACT SIGNED

Kendell Airlines Administrators Mark Mentha and Mark Korda today announced the completion of a binding sale contract to sell Kendell Airlines to the Australia-wide Consortium.

The selection of Australiawide as preferred bidders was announced on 7 May, 2002. Settlement and transfer of ownership is scheduled to occur on 21 July, 2002.

"We are especially pleased that the new owners have agreed to continue the employment of some 600-650 Kendell and Hazelton staff in their new airline operation.

The new airline to be headquartered in Sydney, with its operational base in Wagga Wagga is planned to be a low cost, high quality carrier operating both Saab 340 and Metre 23 aircraft on regional routes in new South Wales, Victoria, South Australia and Tasmania.

The signing of the sale contract is another major step towards the transition out of administration and into new ownership," Mark Korda said.

"Certain condition precedents apply including identification of ongoing staff, assignment of leases etc that are normal to a sale such as this. The final step is settlement on 21 July, 2002."

To manage the transition of the airline to Australiawide ownership, a Kendell transitional Board to be chaired by Mr Korda, has been established and will meet for the first time this afternoon.

The Board including representatives of Kendell, and Australiawide management will meet weekly to ensure conditions precedent are met and to manage the orderly transition of the business.

The new Australiawide Kendell will be headquartered in Sydney, with its operational base in Wagga Wagga is planned to be a low cost, high quality carrier operating both Saab 340 and Metre 23 aircraft on regional routes in new South Wales, Victoria, South Australia and Tasmania.

Kendell Airlines operates flights between Melbourne and Albury, Wagga Wagga, Merimbula, King Island, Mildura, Portland, Mt Gambier, Devonport, Burnie, and Canberra; between Sydney and Canberra, Wagga Wagga and Albury; and between Adelaide and Mount Gambier, Ceduna, Broken Hill, Whyalla, Port Lincoln, Olympic Dam, Kangaroo Island and Coober Pedy.

The Administrators acknowledged the efforts of Kendell staff, and the assistance of the Federal Government in achieving key sale conditions and thanked the Hon John Anderson, Acting Prime Minister and Minister for Transport & Regional Services, for his personal attention on behalf of regional Australia.

"This has been an anxious time for our Kendell staff who have steadfastly served their customers and carried on their business in a most professional manner," Mr Korda said.

"We restarted Kendell Airlines in September 2001 with Government support and have operated flights to key regional centres in four states for close to 10 months."

"All parties involved in Kendell Airline's future well recognise Kendell is an important part of the regional infrastructure of New South Wales, Victoria, South Australia and Tasmania," Mr Korda said.

KENDELL SALE PROGRESSES

Kendell Airlines Administrator Mark Mentha said today the Ansett subsidiary would be sold to the Australiawide Consortium later this month pending finalisation of documentation regarding the two airline sale also including Hazelton Airlines.

The CEO elect of the Australiawide Consortium Mr Michael Jones will commence a "meet the staff" roadshow this week from Wednesday initially visiting Wagga, (Kendell Airlines home base), Orange (Hazelton Airlines base), Melbourne and Adelaide.

"We expect to transfer full ownership to Australiawide within the next two months. We are now finalising sale contract documentation, it is a very complex transaction given that this is a two airline sale, to a multi-member consortium" Mr Mentha said.

Commenting on the "Meet the Staff" roadshow he said: "It will be well received. The commitment and resolve of Kendell employees throughout the past eight months has been outstanding and will stand the airline in good stead to regain its position as Australia's premier regional airline," he added.

"We restarted Kendell Airlines in September 2001 with Federal Government support and are now operating regular flights to many key centres in four states," he said.

"Among the staff, we have seen many examples of dedication, often voluntary, to support their airline's recovery. A staff marketing campaign and flyer was backed by a network-wide effort involving Pilots, Flight Attendants, Engineers, Administrative, sales and marketing staff to inform the travelling public that Kendell is alive, well and operating."

KENDELL AND HAZELTON - PREFERRED BIDDER ANNOUNCED

The administrators of Kendell Airlines and Hazelton Airlines today signed a heads of agreement with the 'Australiawide' consortium, naming the group preferred bidder for the dual acquisition of the Ansett Group airline subsidiaries.

Mark Mentha, administrator of Ansett and Kendell, and Michael Humphris for Hazelton administrator Sims Lockwood, accepted a $500,000 deposit from Australiawide to secure the consortium's interests.

"The combination of both airlines provides a single investor an airline operation covering key regional markets in four states," said Mark Mentha.

"Our aim regarding the sales of the Ansett regional has been to secure the best outcome for Ansett creditors, and at the same time, to sell the businesses to owners who will take them forward in a sustainable manner," he said.

"These airlines are critical to country towns and major centres in regional Australia. We restarted Kendell Airlines in September 2001 with Government support and are now operating regular flights to many key regional centres in four states," he said.

Michael Humphris, administrator of Hazelton Airlines said discussions with Australiawide would continue over the next 14 days before moving to a contract of sale.

"There remain certain conditions, which must be resolved prior to sale completion, and as administrators we will assist Australiawide in everyway to make sure those conditions are worked through and met," he said.

All Kendell and Hazelton Airlines services will continue as normal while the sale process continues.
